i keep getting that update frpm windos but it fails to install it..is any1 else having this problem

Check the update for compatibility. Sometimes your updates will tell you that you have updates but in fact they are for another program system or patches that your system doesn't need. Keep in mind when you are told that updates are available doesn't necessarily mean that you need it.

Since it's .net framework, you may not have all the updates from SP1 while you're trying to download SP2 updates.
You may have to uninstall SP2, got to updates and see if you have them all and THEN reinstall SP2.
